Corporate Finance

Our corporate finance team has over the years successfully taken a number of Small and Medium Enterprises (SMEs) and family owned companies to listing on Bursa Securities Malaysia Berhad via the Initial Public Offer (IPO). We work closely with the Investment Bankers; Due Diligence Lawyers, Market Research Consultants, Issuing Houses and Share Registrars. We offer accounting and tax advice and corporate secretarial support services during the IPO process.

For these assignments, we typically act as an in-house financial adviser.

For many of these listed companies, we continue to act as their corporate adviser post IPO.

Restructuring Advisory, Insolvency, Receivership and Liquidation

Corporate Restructuring Adviser
We can assist Companies in conducting an Independent Business Review, identify problems of troubled and underperforming businesses and to propose a business plan moving forward.

We will work with management to come out with a viable Restructuring and Turnaround plan to transform and improve the business performance and to ensure a swift and sustainable business.

We provide Debt Advisory services to Companies seeking opportunities to refinance. rollover, renegotiate debt facilities, implement operational and financial restructuring plans, with the support of existing or new financiers. We also assist Companies to restructure and identify new or potential capital sources.

Monitoring Accountant
For Companies that are showing sign of financial distress or have undertaken a debt restructuring plan, we will assist lenders to act as Monitoring Accountant in the affected Companies. We will monitor the financial performance against the pre-agreed set of results and performance parameters. We will take charge of all receipts and payments and to ensure the assets of the Companies are properly safeguarded and secured.

Receivership
When a company runs into financial difficulties and is unable to meet its debt obligations, the lender with an appropriate debenture is able to exercise its rights to appoint Receivers and Managers so as to take control of the assets and to dispose them in an optimum manner to realize its full value and to repay the secured lenders. In addition, Receivers and Managers may also be appointed by the Court in certain instances. Our Insolvency Team will be able to assist in this area of work.

Liquidation
When companies no longer serve their intended purpose or are unable to be saved, it may be appropriate to bring them to a close by going through a process known as winding up or liquidation.

The three main categories of liquidation are:

  • Members Voluntary Liquidation
  • Creditors’ Voluntary Liquidation
  • Court Liquidation.

We will assist companies and businesses to go through the liquidation process to ensure that the right approach is pursued so that maximum financial returns can be achieved from the liquidation, quickly and effectively and to replay to all creditors and contributors in full or partially.
